Services. All such services shall be perf=ormed by Consultant or under its <br />supervision, and all personnel engaged in the work shall be qualified to <br />perform such services. <br />3. COMPENSATION AND PAYMENT <br />a.- Maximum and Rate. Except for authorized extra services pursuant. to <br />Section 5, the total .compensation payable to Consultant by District.for <br />the services under this Agreement SHALL NOT EXCEED the sum. of <br />$2,258,000 (hereinafter, the "not to exceed amount"), and shall be <br />earned as the work progresses on the following basis: <br />Hourly at the hourly rates and with reimbursement to the <br />Consultant for those expenses set forth in Consultant's. <br />Schedule of Fees marked 'Exhibit "B," attached and <br />incorporated herein.' The rates and expenses sot forth in <br />that .exhibit shall be binding upon Consultant until January 1., <br />20:12, after which.. any change in .said rates and expenses <br />must be approved in writing by the District's Project Manager <br />(District is to be given 60 days notice of any rate increase <br />request), provided the "not to exceed amount' is the total <br />compensation due the Consultant for all work described <br />under this Agreement notwithstanding_ any . such change in <br />said rates and expenses except with respect to authorized <br />extra,services pursuant to Section 5. <br />b. Payment. All payments shall be made within 30 days after the <br />Consultant has provided the District written verification of the actual <br />compensation earnedin a form satisfactory to the District's Project <br />Manager. - Invoices shall. be made no more frequently than monthly, <br />and describe the work performed, including a list of hours worked by <br />personnel classification. <br />4. TERM <br />The term of this Agreement shall commence at 12:00 a.m. on the <br />Commencement Date and shall expire at 11:59 p.m. on the Expiration <br />Date unless extended by written agreement of the parties or terminated <br />earlier in accordance with Section 15 ("Termination") below. The <br />Commencement Date shall be the date on which this Agreement is signed <br />by the later of the two parties to do so. The Expiration Date shall be three <br />years after the Commencement Date unless otherwise specified . in <br />Exhibits A or B hereto. <br />5. EXTRA SERVICES <br />VA, <br />
