Project Name: Lang. Ranch Community Park <br />AN AGREEMENT FOR PROFESSIONAL SERVICES <br />BETWEEN THE CONEJO RECREATION AND PARK DISTRICT <br />AND <br />PSOMAS <br />THIS AGREEMENT, made and entered into this April 16, 2009, by and between <br />the CONEJO RECREATION .AND PARK DISTRICT (herein referred to as <br />"District," and PSOMAS, a private engineering consulting firm, herein referred to <br />as "Consultant"). <br />The District and Consultant agree as follows: <br />1. RETENTION AS CONSULTANT <br />District hereby retains Consultant, and Consultant hereby accepts such <br />engagement, to perform the services described in Section 2. Consultant <br />warrarits it has the qualifications, experience, and facilities to properly and <br />timely perform said services. <br />2. DESCRIPTION OF SERVICES <br />a. The services to be performed by Consultant are engineering and design <br />services with respect to the proposed Lang Ranch Park and those <br />services are more fully described in the Scope of Services attached as <br />Exhibit A hereto and incorporated herein by this reference. <br />b. The. Consultant shall deliver to the District one or more copies of the <br />"deliverables" specified by the Scope of Services attached as Exhibit A. <br />c. Consultant. shall perform all work to the professional standards of <br />Consultant's profession and in a manner reasonably satisfactory to <br />District. Consultant shall comply with all applicable federal, state and local <br />laws and regulations, including the conflict of - interest provisions -of <br />Government Code Section 1090 and the Political Reform Act <br />(Government Code Section 81000 et seq.). <br />d. During the term of this Agreement, Consultant shall not perform any work <br />for another person or entity for whom Consultant was not working at the <br />Commencement Date if both (i) such work would require Consultant to <br />abstain from a decision under this Agreement pursuant to a conflict of <br />interest statute and (ii) District has not ponsented in writing to Consultant's <br />performance of such work. <br />e. Consultant represents that it has, or will secure at its own expense, all <br />personnel required to perform the services identified in the Scope of <br />
