District shall pay Consultant such amounts as mutually agreed to in advance for those District -authorized extra services not reasonably included within the Scope of Services attached as Exhibit A. Unless the District and Consultant agree in writing to a scope of and rates for such services before the extra services are performed, District shall have no liability for, and Consultant no right to claim, compensation for such extra services or expenses. Unless otherwise agreed with respect to a particular extra service, the applicable hourly -rates for extra services shall be at the hourly rates set forth in the Exhibit B. 6. DISTRICT PROJECT MANAGER AND SERVICES BY DISTRICT The services to be performed by the .Consultant shall be accomplished under the general direction of, and coordinate with, the District's "Project Manager," as that staff person is designated by the District from time to time, and who presently is Tom Hare. 7. PROGRESS AND COMPLETION Consultant shall commence work upon written authorization to proceed with the work from the District's Project Manager. Time is of the essence of this Agreement. 8. -OWNERSHIP OF DOCUMENTS All drawings, designs, data, photographs, reports, and other documentation (other than Consultant's drafts, notes and internal memoranda), including duplication of same prepared by Consultant in the performance .of these services, shall become, the -property of -the Distract upon payment of compensation due Consultant under this Agreement for the production of any such item. If requested by the District, all or the designated portions of such shall be delivered to the District. The District agrees to hold- the- Consultant harmless from all damages, claims, expenses, and losses arising out of any reuse of the plans and specifications for purposes other than those described in this Agreement, unless written authorization of the Consultant is first obtained. 9. PERSONAL SERVICES/NO ASSIGNMENTISUBCONTRACTOR This Agreement is for professional services, which are personal to the District. Jahrt J.'Vlassis (Psomas); Matt Hawley (LGC) and Lee Newman• (LNDG) are deemed to be especially experienced and are key members or employees of Consultant design team, and shall be directly involved in performing, supervising, or assisting in the performance of this work. 3
