ATTACHMENT #1 AGREEMENT FOR GENERAL SERVICES BETWEEN THE CITY OF THOUSAND OAKS, CONEJO RECREATION AND PARK DISTRICT, CONEJO OPEN SPACE CONSERVATION AGENCY, CONEJO VALLEY UNIFIED SCHOOL DISTRICT AND VENCO WESTERN, INC. THIS AGREEMENT, made and entered into this , by and between the CITY OF THOUSAND OAKS, a municipal corporation, CONEJO RECREATION AND PARK DISTRICT, CONEJO OPEN SPACE CONSERVATION AGENCY, and CONEJO VALLEY UNIFIED SCHOOL DISTRICT, (hereinafter referred to as "Agencies"), and VENCO WESTERN, INC. (hereinafter referred to as "Service Provider"). Agencies and Service Provider agree as follows: 1. RETENTION OF SERVICE PROVIDER Agencies hereby retain Service Provider, and Service Provider hereby accepts such engagement, to perform the services described in Section 2. Service Provider warrants it has the qualifications, experience, and facilities to properly and timely perform said services. 2. DESCRIPTION OF SERVICES The services to be performed by Service Provider are as follows: Weed abatement services which shall generally include weed abatement in designated parcels, open spaces, slopes, and roadsides, as more particularly described in the Scope of Work, attached as Exhibit "A", and incorporated herein. 3. COMPENSATION AND PAYMENT (a) Maximum and Rate. Except for authorized extra services, pursuant to Section 3 (c), the total compensation payable to Service Provider by Agencies for their respective areas, for the services under this agreement, shall not exceed $886,002.68 for the initial three-year contract period and one optional one-year extension (herein "not to exceed amount"). Each Agency's respective share of the not -to -exceed amount is delineated on the Schedule of Fees (Exhibit "B"). Compensation shall be earned as the work progresses on the following basis: Flat fee per square foot as set forth in service Provider's schedule of Fees, marked as Exhibit "B", attached and incorporated herein. The rates and expenses set forth in that exhibit shall be binding upon Service Provider until June 30, 2020, after which any change in said rates and expenses must be approved in writing by the respective Project DPW: 600-30Njulketm\Councit\032817\Multi-agency Agreement for Weed Abatement Services Page 1
