December 5, 2002 <br />Page 3 <br />It was moved by Gibson, seconded by Holt, and carried 5-0 to adopt <br />Resolution Number 120502-A authorizing staff to execute all documents <br />relative to the acquisition of parcels APN677-0-110-36 and APN 677-0- <br />110-27; funding to come from Park Development Fees in an amount not <br />to exceed $175,000; that it be read in title only and all other readings be <br />waived. <br />8. NEW ITEMS <br />A. Consideration Of Memorandum Of Understanding Between Miller <br />Brothers, Conejo Valley Unified School District, And Conejo Recreation <br />And Park District Regarding The Lease Of Property For The Expansion <br />Of The Sycamore School Site In The Dos Vientos Development <br />Ward referenced the Memorandum of Understanding (MOU). He said that <br />the agreement resulted from remarkable effort by many, and has been <br />approved by the Conejo Valley Unified School District; the last elements of an <br />understanding between Miller Brothers and Shapell are close to being <br />resolved, and an accord is expected by December 19, in which case the <br />MOU agreement will be moot. He noted the presence of Dr. Jody Dunlap, <br />representing the school district, and said she was available to answer <br />questions. <br />Sorensen reviewed past relevant events, and identified and discussed the <br />properties and organizations involved, and major considerations. He said <br />that in the Western Plateau Preservation Plan (WPPP), CRPD agreed to <br />relinquish the 4.5 -acre Dos Vientos park site adjacent to the elementary <br />school for an alternative Dos Vientos location; the alternative park site will <br />only be available at the close of escrow pursuant to WPPP; and if the WPPP <br />is not consummated, the Specific Plan conditions would require that the <br />original 4.5 -acre site be developed as a neighborhood park. He said that to <br />protect everyone's interests, a three -party agreement has been drawn up <br />which stipulates that Miller Brothers would lease the 4.5 -acre park site to <br />CVUSD, and in the event the WPPP was not consummated and CRPD lost <br />its interest in both the original and the 4.5 -acre offsite parcel, CVUSD agrees <br />to provide a 4.5 -acre parcel of land to CRPD to be developed by Miller <br />Brothers as a neighborhood park site. <br />In response to Gibson's inquiries, Ward clarified aspects of the agreement. <br />
