TEMPORARY LEASE AGREEMENT ("AGREEMENT")
<br />THOUSAND OAKS MARKETPLACE, L.P., as Landlord,
<br />AND
<br />CONEJO RECREATION AND PARK DISTRICT and REIGN OF TERROR HAUNTED HOUSE, INC, a California
<br />nonprofit public benefit corporation, jointly and severally, as Tenant
<br />This day of 2021, Landlord hereby leases to 225 N. Moorpark Road, Suite J -225A, Thousand Oaks, CA 91360,
<br />containing approximately 28,900 square feet ("Premises") which is that certain portion of the Janss Marketplace ("Center")
<br />pursuant to the following terms and conditions:
<br />Premises:
<br />That portion of the Center shown on Exhibit "A" attached hereto, together with the right of access to and from public streets across
<br />portions of the Center to the Premises, but not including the right to operate a Haunted House on any portions of the Center other
<br />than the Premises. Tenant shall utilize the area shown on Exhibit "A" as "Customer Line Area" for queuing of patrons.
<br />Premises Lease Term:
<br />(a) Approximately July 1, 2021 through December 31, 202 1.
<br />(b) If Tenant, without Landlord's consent, remains in possession of the Premises after the termination of the term,
<br />the Gross Rent shall continue with respect to any period after such termination until Tenant shall vacate the Premises and Tenant
<br />shall indemnify, defend, protect and hold Landlord harmless from and against any and all Liabilities (as hereinafter defined)
<br />incurred by Landlord as a result thereof, including, without limitation, the claims of any succeeding tenant(s) and/or occupant(s),
<br />delays in Landlord's ability to commence redevelopment of the Center and/or to deliver the Premises or other portions of the
<br />Premises to any succeeding tenant(s) or occupant(s) and all consequential damages relating to any of the foregoing.
<br />Premises Gross Rent:
<br />Gross Rent shall be $75,000.00 for the entire term on a Gross Rent basis. Said Gross Rent shall be due and payable on
<br />November 1, 2021. The Premises Gross Rent shall be the sole responsibility of Reign of Terror Haunted House, Inc.
<br />Security Deposit:
<br />$3,000.00, which has been deposited with Landlord for a prior temporary lease arrangement, which Landlord shall retain and apply
<br />to Tenant's account in satisfaction of this requirement. Landlord will use best efforts to return said Security Deposit within 30 days
<br />of Temporary Lease expiration, subject to any deductions, by check made payable to "Reign of Terror Haunted House, Inc."
<br />Commencement Date:
<br />The date on which Landlord delivers possession of the Premises to Tenant (estimated to be July 1, 2021). Tenant shall furnish
<br />and fixturize the Premises per Tenants plans to be approved by Landlord in writing prior to such alterations.
<br />Use:
<br />Tenant shall be permitted to use the Premises as a haunted house and for no other use or purpose during the Term of this
<br />Agreement. The haunted house activity will take place on: September 24, 25, October 1,2,8,9,12,13,14,22,23,24,28,29,30, 31,
<br />and November 5 and 6. December 17th and 18th. Hours will be: Fridays 7-11 p.m. Saturdays from 7-11 p.m., Sundays 7-10 p.m.
<br />and ticket sales should end at approximately 10:30 p.m.
<br />Coneio, Recreation and Park District Responsibilities
<br />® Assist in developing Fire Department Safety/floor plan and schedule.
<br />0 Assist volunteer recruitment as requested.
<br />a Assist in community -wide publicity.
<br />• Assist to obtain any required permits from the City and/or Fire Department or other public agencies.
<br />0 Coordinate with Janss Marketplace any auxiliary activities (i.e. Young Artists Ensemble/Teen Center display, as
<br />deemed mutually appropriate).
<br />a Provide a certificate of additional insurance naming Landlord and NewMark Merrill Companies for the period of
<br />approximately July 1, 2021 through December 31, 2021 as it relates to this activity and during any period when Tenant
<br />is in possession of the Premises during any furnishing or fixturing period.
