Janss Marketplace Responsibilities: <br />Provide a space from approximately July 1, 2021 through December 31, 2021. <br />Provide and implement approved marketing plan. <br />Implement security plan during the run of the tours. <br />Bruce Stanton Responsibilities: <br />0 Jointly develop Fire Department Safety/floor plan and schedule. <br />0 Purchase supplies. <br />0 Build and install components for the Haunted House and construct an interior/exterior "ticket booth." <br />® Provide and train volunteers for the operation of the Haunted House. <br />0 Operate the Haunted House as scheduled in the Use section of this Agreement. <br />0 Coordinate "move -in," strike, and storage of Haunted House materials. <br />0 Sell tickets and lead in management of the facility/program. <br />0 Provide to Landlord the Security Deposit and set up the Utilities as provided in this Agreement. <br />a Donate the portion of the net revenues as determined among the Tenant entities to the Young Artists Ensemble and the <br />Thousand Oaks Teen Center. <br />Tenant Improvements <br />Landlord and Tenant agree that Tenant accepts the Premises in its "as -is" condition and Landlord shall not be required to make any <br />renovations to improvements to the Premises, except as expressly provided herein, including, but not limited to, any city or other <br />governmental requirements. Tenant agrees to remove from the Premises all displays and Tenant's other property on or before the <br />end of the term,, leaving the Premises clean and free of debris and shall restore and return the Premises to the same condition that <br />it was delivered. Tenant agrees to at all times keep the area clean and free of debris and trash. <br />Alteration, Additions, Improvements and Repairs: <br />(a) Tenant shall not make any alterations, additions or improvements to the Premises other than those associated <br />with a haunted house on the Premises. <br />(b) Landlord shall make all repairs to the Premises required in order for Tenant to use the Premises for its intended <br />purposes within a reasonable time after receipt of written notice of the need therefor; provided, however, that Landlord may <br />terminate this Lease upon thirty (30) days' prior written notice to Tenant in lieu of making any such repairs; and if Tenant cannot <br />reasonably use the Premises for its intended purposes as a result of such repairs not being made, Tenant may terminate this Lease <br />upon written notice to Landlord and Tenant vacating the Premises. Notwithstanding anything herein contained to the contrary, <br />Tenant, at its sole cost and expense, and not Landlord, shall make any repairs to the Premises required as a result of the negligence <br />or willful acts of Tenant, its employees, and contractors. <br />(c) Tenant shall keep the Premises free from any and all liens arising out of any work performed, materials <br />furnished or obligations incurred by Tenant. <br />Utilitv Services: <br />Tenant shall be solely responsible for, and promptly pay when due, all charges for gas, water, sewer, telephone, electricity, and all <br />other utilities used by Tenant or consumed at the Premises during the Term. If Tenant refuses or neglects to pay any such utility <br />charges, Landlord may, at Landlord's option, pay such charges, and Tenant shall, upon demand, pay to Landlord the amount paid <br />by Landlord and all other costs incurred in connection therewith. In the event that any utility usage of Tenant is not separately <br />metered or billed, Tenant agrees to pay to Landlord its equitable share of the charges for each utility as reasonably determined by <br />Landlord. Notwithstanding the foregoing, in the event Tenant shares the Premises with another tenant, the utility charges shall be <br />separated in a manner to be determined by the Landlord. <br />Landlord Access: <br />Landlord, or its authorized agents, shall have the right, upon reasonable notice, to enter the Premises during normal working hours <br />(or at any time in the case of an emergency) for the following purposes: (a) inspecting the general condition and state of repair of <br />the Premises, (b) making repairs required by Landlord, and (c) showing the Premises to any prospective purchaser, lender or tenant. <br />At all times Landlord shall have a key or keys with which to unlock the doors on the Premises. <br />Indemnifientinw- <br />Initials <br />Initials <br />
