The DISTRICT hereby indemnifies and holds ROTARY and its officers, officials and employees, harmless from and against any and all claims by or on behalf of any person or persons, firm or firms, corporation or corporations arising from the ROTARY's use of DISTRICT, CVUSD or CITY property used by ROTARY under this Agreement, including adjacent parking areas, or arising from any acts of negligence of the DISTRICT or any of its agents, contractors, servants, employees, permittees, or agents and from and against all costs, attorney fees, expenses, and liabilities incurred in or about any such claim, action, or proceeding brought thereon. ROTARY shall pay the DISTRICT, a "site fee", not less than $2,500 (two thousand five hundred dollars) per full day, of the usage period, or $5,000 (five thousand dollars). Additional full days utilized to extend the usage period shall be charged at $2,500 (two thousand five hundred dollars) per full day. Payment shall occur within ninety (90) days of the termination of said event. 8. ROTARY shall provide the DISTRICT a full financial report within ninety (90) days of the termination of said event. The District may, at its discretion, inspect the budgets, financial transactions, books, records, and the like, of the ROTARY. 9. DISTRICT shall hire an independent consultant to develop a Noise Monitoring & Control Plan (Exhibit B) and monitor the event. ROTARY shall fully reimburse the DISTRICT for any costs for the development and execution of the Noise Monitoring & Control Plan. Payment shall occur within ninety (90) days of the termination of said event. 10. ROTARY shall fully reimburse the DISTRICT for any labor and materials expended by the DISTRICT for any and all repairs that are caused by the event. Payment shall occur within ninety (90) days of date of invoice from the DISTRICT. 11. ROTARY shall fully reimburse the DISTRICT for any electricity usage of the lights at the premises. As standard with DISTRICT permitted groups, the DISTRICT will invoice ROTARY based on the premises' Control -Link Usage Report for the appropriate usage and current at the time of invoicing hourly rate. Payment shall occur within ninety (90) days of date of invoice from the DISTRICT. Oakheart County Music Festival Agreement ( Page 4
