account of Tenant, and any sum so expended by Landlord plus interest shall be additional rent for all <br />purposes hereunder, including paragraph (a) above, and shall be paid by Tenant upon written demand from <br />Landlord. <br />(c) If any Gross Rent or money due and payable under this Agreement shall be due and unpaid <br />or Tenant shall be in default upon any of the other terms of this Agreement, and such default has not been <br />cured after notice and within the time provided in paragraphs (a) and (b) above, then Landlord, in addition <br />to its other remedies., shall have the immediate right of re-entry. Should Landlord re-enter or take <br />possession pursuant to legal proceedings or any notice provided for by law, Landlord may terminate this <br />Agreement. <br />Transfer by Landlord; Landlord's Limited Lia <br />(a) If Landlord sells or transfers its interest in the Premises or the Center, Landlord on <br />consummation of the sale or transfer shall be released from any and all liabilities thereafter accruing <br />hereunder. <br />(b) Tenant agrees that if Landlord is a corporation, limited liability company, general or limited <br />partnership, limited liability partnership, trust or joint venture, or if Landlord at any time becomes a <br />corporation, limited liability company, general partnership, limited partnership, limited liability <br />partnership, trust or joint venture, Tenant shall not make any claims against any shareholder, officer, <br />director, member, partner (whether general or limited), trustee, beneficiary or joint venturer thereof by <br />reason of any matter arising under the terms of this Agreement or arising in connection with the use or <br />occupancy of the Premises or Center. No personal asset of any shareholder, officer, director, member, <br />partner (whether general or limited), trustee, beneficiary or joint venturer shall be subject to levy, execution., <br />attachment or other enforcement procedures by Tenant or any successor or assignee of Tenant on account <br />of any matter whatsoever relating to this Agreement or the use or occupancy of the Premises or Center. <br />(c) Notwithstanding anything to the contrary contained in this Agreement, Tenant agrees that <br />in all events it shall look solely to the estate and property of Landlord in the Center, regardless of whether <br />the entity constituting Landlord is a corporation, partnership, limited liability partnership, limited liability <br />company, joint venture, trust, individual or otherwise, for the collection of any judgment or other judicial <br />process requiring the payment of money by Landlord with respect to any of the terms, covenants or <br />conditions of this Agreement, and any monetary judgment Tenant obtains against Landlord as a result of <br />any default by Landlord under this Agreement or any other claim by Tenant or the Tenant Parties against <br />Landlord or the Landlord Parties shall only be satisfied out of the lesser of: (i) Landlord's interest in the <br />Center, or (ii) the equity interest Landlord would have in the Center if Landlord's interest in the Center <br />were encumbered by third party debt in an amount equal to eighty percent (80%) of the value of the Center. <br />Compliance with Law. <br />(a) Tenant shall, at its sole cost and expense, promptly comply with all Laws applicable to the <br />Premises and/or the use thereof, including, without limitation, the obligation to alter, maintain or restore <br />the Premises in compliance with the Laws, and Tenant shall promptly comply with all governmental orders <br />or directives for the correction, prevention or abatement of a nuisance in, upon or connected with the <br />Premises. Notwithstanding the foregoing, Tenant shall not be obligated to make any structural alterations <br />to the Premises unless required as a result of the use or proposed use of the Premises or any alterations by <br />Tenant or the Tenant Parties. <br />(b) Tenant shall obtain all necessary approvals, permits and licenses required by any <br />governmental entities for Tenant's operations in the Premises, at Tenant's sole cost and expense. <br />-6- <br />Initials <br />Initials <br />
