Conejo Recreation and Park District Responsibilities. • Assist in developing Fire Department Safety/floor plan and schedule. • Assist volunteer recruitment as requested. • Assist in community -wide publicity. • Assist to obtain any required permits from the City and/or Fire Department or other public agencies. • Coordinate with Janss Marketplace any auxiliary activities (i.e., Young Artists Ensemble/Teen Center display, as deemed mutually appropriate). • Provide a certificate of additional insurance naming Landlord and NewMark Merrill Companies for the period of approximately April 1, 2023, through December 31, 2023, as it relates to this activity and during any period when Tenant is in possession of the Premises during any furnishing or fixturing period. Janss Marketplace Responsibilities. • Provide a space from approximately April 1, 2023, through December 31, 2023. • Provide and implement approved marketing -plan. • Implement security plan during the run of the tours. Bruce Stanton Responsibilities. • Jointly develop Fire Department Safety/floor plan and schedule. • Purchase supplies. • Build and install components for the Haunted House and construct an interior/exterior "ticket booth." • Provide and train volunteers for the operation of the Haunted House. • Operate the Haunted House as scheduled in the Use section of this Agreement. • Coordinate "move -in," strike, and storage of Haunted House materials. • Sell tickets and lead in management of the facility/pro gram. • Provide to Landlord the Security Deposit and set up the Utilities as provided in this Agreement. • Donate the portion of the net revenues as determined among the Tenant I enant entities to the Young Artists Ensemble and the Thousand Oaks Teen Center. Tenant Improvements. Landlord and Tenant agree that Tenant accepts the Premises in its "as -is" condition and Landlord shall not be required to make any renovations to improvements to the Premises, except as expressly provided herein, including, but not limited to, any city or other governmental requirements. Tenant agrees to remove from the Premises all displays and Tenant's other property on or before the end of the term, leaving the Premises clean and free of debris and shall restore and return the Premises to the same condition that it was delivered. Tenant agrees to at all times keep the area clean and free of debris and trash. Alteration, Additions, Improvements and Repairs. (a) Tenant shall not make any alterations, additions or improvements to the Premises other than those associated with a haunted house on the Premises. (b) Landlord shall make all repairs to the Premises required in order for Tenant to use the Premises for its intended purposes within a reasonable time after receipt of written notice of the need therefor; provided, however, that Landlord may terminate this Agreement upon thirty (3 0) days' prior written notice to Tenant in lieu of making any such repairs; and if Tenant cannot reasonably use the Premises for its intended purposes as a result of such repairs not being made, Tenant may terminate this Agreement upon written notice to Landlord and Tenant vacating the Premises.
