THOUSAND OAKS MARKETPLACE, L.P.,
<br />a California limited partnership as Landlord,
<br />AND
<br />CONEJO RECREATION AND PARK DISTRICT, and
<br />REIGN OF TERROR HAUNTED HOUSE, INC,
<br />a California nonprofit public benefit corporation, jointly and severally, as Tenant
<br />This day of 2022, Landlord hereby leases to 225 N. Moorpark Road,
<br />Suite J -225A, Thousand Oaks, CA 91360, containing approximately 28,900 square feet ("Premises") which
<br />is that certain portion of the Janss Marketplace ("Center") pursuant to the following terms and conditions:
<br />Premises. That portion of the Center shown on Exhibit "A" attached hereto, together with the right of
<br />access to and from public streets across portions of the Center to the Premises, but not including the right
<br />to operate a Haunted House on any portions of the Center other than the Premises. Tenant shall utilize the
<br />area shown on Exhibit "A" as "Customer Line Area" for queuing of patrons.
<br />Premises Lease Term.
<br />(a) Approximately April 1, 2023, through December 31, 2023.
<br />(b) If Tenant, without Landlord's consent, remains in possession of the Premises after the
<br />termination of the term, the Gross Rent shall continue with respect to any period after such termination until
<br />Tenant shall vacate the Premises and Tenant shall indemnify, defend, protect and hold Landlord harmless
<br />from and against any and all Liabilities (as hereinafter defined) incurred by Landlord as a result thereof,
<br />including, without limitation, the claims of any succeeding tenant(s) and/or occupant(s), delays in
<br />Landlord's ability to commence redevelopment of the Center and/or to deliver the Premises or other
<br />portions of the Premises to any succeeding tenant(s) or occupant(s) and all consequential damages relating
<br />to any of the foregoing.
<br />Premises Gross Rent. Gross Rent shall be $85,000.00 for the entire term on a Gross Rent basis. Said
<br />Gross Rent shall be due and payable on November 1, 2023. The Premises Gross Rent shall be the sole
<br />responsibility of Reign of Terror Haunted House, Inc.
<br />Security Deposit. $3,000.00, which has been deposited with Landlord for a prior temporary lease
<br />arrangement, which Landlord shall retain and apply to Tenant's account in satisfaction of this requirement.
<br />Landlord will use best efforts to return said Security Deposit within 30 days of Temporary Lease expiration,
<br />subject to any deductions, by check made payable to "Reign of Terror Haunted House, Inc."
<br />Commencement Date. The date on which Landlord delivers possession of the Premises to Tenant
<br />(estimated to be April 1, 2023). Tenant shall furnish and fixturize the Premises per Tenants plans to be
<br />approved by Landlord in writing prior to such alterations.
<br />Use. Tenant shall be permitted to use the Premises as a haunted house and for no other use or purpose
<br />during the Term of this Agreement. The haunted house activity will take place on: April 28, 29, September
<br />23) 29) 30, October 6, 7, 13, 14, 20) 21, 22, 26) 27, 28, 29) 31, November 3. 4 and December 8, 9. Hours
<br />will be Fridays 7-11 p.m., Saturdays from 7-11 p.m., and Sundays 7-10 p.m. and ticket sales should end at
<br />approximately 10:30 p.m.
