<br />Lack of compliance by CVD may be considered a breach of this contract, and the General
<br />Manager or his designee may revoke the permit, appeal of such revocation may be made
<br />by CVD to the Board of Directors.
<br />6. CVD shall at all times during usage period maintain at its own cost and expense Public
<br />Liability insurance covering liability for bodily injury, personal injury, death, and property
<br />damage. The DISTRICT, CVUSD, and City of Thousand Oaks (CITY) shall be named as
<br />additional insureds and shall receive a copy of the certificate thirty (30) days prior to the
<br />event if obtainable, and if not obtainable, CVD and/or DISTRICT may cancel Conejo Valley
<br />Days celebration. The amount of insurance coverage shall be $1,000,000 per occurrence
<br />and $2,000,000 aggregate, or for limits mutually agreed to by the parties at least ninety (90)
<br />days prior to the event.
<br />7. CVD hereby indemnifies and holds the DISTRICT, CVUSD and CITY and its officers,
<br />officials and employees, harmless from and against any and all claims by or on behalf of
<br />any person or persons, firm or firms, corporation or corporations arising from any negligent
<br />act or omission either under this Agreement or in or on adjacent parking areas used for the
<br />celebration, by CVD or any of its contractors, servants, employees, permittees, or agents,
<br />from and against all costs, attorney fees, expenses, and liabilities incurred in or about any
<br />such claim, action, or proceeding brought thereon. All parties contracted for the event who
<br />have their own insurance shall be required to name the DISTRICT, CVUSD and CITY as
<br />additional insureds. Notwithstanding anything to the contrary herein, if CVD maintains
<br />insurance as agreed to in the preceding paragraph of this Agreement, the District will look
<br />solely to that insurance, and not to CVD, for recovery of all amounts due from CVD and
<br />claims against CVD relating in any way to Conejo Valley Days, this Agreement, the
<br />indemnity given by CVD under this Agreement, and for loss or damage arising out of or
<br />relating in any way to this Agreement, provided that CVD shall be liable up to the amount of
<br />any deductible or self-insured retention, but not for any amount in excess of such
<br />deductible or self-insured retention.
<br />8. The DISTRICT hereby indemnifies and holds CVD and its officers, officials and employees,
<br />harmless from and against any and all claims by or on behalf of any person or persons, firm
<br />or firms, corporation or corporations arising from acts of negligence of the DISTRICT or any
<br />of its agents, contractors, servants, employees, permittees, or agents and from and against
<br />all costs, attorney fees, expenses, and liabilities incurred in or about any such claim, action,
<br />or proceeding brought thereon.
