Holt, Director <br />Chuck Huffer, Director <br />GENERAL MANAGER EMERITUS <br />Tex Ward <br />SUBJECT: Amendment of Option and Le se Agreement vjKh T -Mobile West LLC, for <br />Upgrades to E�Jsting Wireless Communications Facility at Dos Vientos <br />Community Park <br />RECOMMENDATION <br />Authorize General Manager to approve third amendment of Option and Lease Agreement with T - <br />Mobile West LLC, currently managed by Vertical Bridge, for upgrades to existing wireless <br />communications facility at Dos Vientos Community Park. <br />DISCUSSION <br />In October of 2012, Conejo Recreation and Park District entered into an Option and Lease <br />Agreement, with T -Mobile West LLC, for the purpose of establishing a wireless facility at Dos <br />Vientos Community Park (DCP). The District negotiated and received a capital contribution of <br />$250,000.00 from T -Mobile in exchange for a full rent waiver of (7) seven years. With approval <br />of the agreement, all five of the major carriers, AT&T, Sprint/Nextel, Verizon Wireless, and T - <br />Mobile, secured a presence at the site, providing cellular and data services to community <br />residents in Dos Vientos Ranch. <br />In November of 2016, the Board approved a First Amendment to Option and Lease Agreement, <br />enabling T -Mobile to expand its lease area, swapping the then existing antennas with larger <br />antennas. A rent increase of $150 per month was imposed for the improvements, starting in the <br />fourth year of the original Agreement. Viewed as a minor modification, the standard 3% annual <br />escalation was not levied on the increase. <br />More recently, in June of this year, a Second Amendment to Option and Lease Agreement was <br />approved by the Board, granting T-Mobile/Vertical Bridge permission to locate a permanent <br />emergency backup generator adjacent to the T -Mobile vault. T-Mobile/Vertical Bridge anticipates <br />being under construction in the next few months. The rent increase for the additional lease space <br />is $300 per month, commencing with construction.
