(a) If Landlord sells or transfers its interest in the Premises or the Center, Landlord on consummation of the sale
<br />or transfer shall be released from any and all liabilities thereafter accruing hereunder.
<br />(b) Tenant agrees that if Landlord is a corporation, limited liability company, general or limited partnership, limited
<br />liability partnership, trust or joint venture, or if Landlord at any time becomes a corporation, limited liability company, general
<br />partnership, limited partnership, limited liability partnership, trust or joint venture, Tenant shall not make any claims against any
<br />shareholder, officer, director, member, partner (whether general or limited), trustee, beneficiary or joint venturer thereof by reason
<br />of any matter arising under the terms of this Lease or arising in connection with the use or occupancy of the Premises or Center.
<br />No personal asset of any shareholder, officer, director, member, partner (whether general or limited), trustee, beneficiary or joint
<br />venturer shall be subject to levy, execution, attachment or other enforcement procedures by Tenant or any successor or assignee of
<br />Tenant on account of any matter whatsoever relating to this Lease or the use or occupancy of the Premises or Center.
<br />(c) Notwithstanding anything to the contrary contained in this Lease, Tenant agrees that in all events it shall look
<br />solely to the estate and property of Landlord in the Center, regardless of whether the entity constituting Landlord is a corporation,
<br />partnership, limited liability partnership, limited liability company, joint venture, trust, individual or otherwise, for the collection
<br />of any judgment or other judicial process requiring the payment of money by Landlord with respect to any of the terms, covenants
<br />or conditions of this Lease, and any monetary judgment Tenant obtains against Landlord as a result of any default by Landlord
<br />under this Lease or any other claim by Tenant or the Tenant Parties against Landlord or the Landlord Parties shall only be satisfied
<br />out of the lesser of: (i) Landlord's interest in the Center, or (ii) the equity interest Landlord would have in the Center if Landlord's
<br />interest in the Center were encumbered by third party debt in an amount equal to eighty percent (80%) of the value of the Center.
<br />Compliance with Law:
<br />(a) Tenant shall, at its sole cost and expense, promptly comply with all Laws applicable to the Premises and/or the
<br />use thereof, including, without limitation, the obligation to alter, maintain or restore the Premises in compliance with the Laws,
<br />and Tenant shall promptly comply with all governmental orders or directives for the correction, prevention or abatement of a
<br />nuisance in, upon or connected with the Premises. Notwithstanding the foregoing, Tenant shall not be obligated to make any
<br />structural alterations to the Premises unless required as a result of the use or proposed use of the Premises or any alterations by
<br />Tenant or the Tenant Parties.
<br />(b) Tenant shall obtain all necessary approvals, permits and licenses required by any governmental entities for
<br />Tenant's operations in the Premises, at Tenant's sole cost and expense.
<br />Notices:
<br />Except as otherwise specifically provided herein, any notice required or desired to be given under this Agreement shall be in
<br />writing and shall be effective the earlier of. (i) upon receipt, delivered in person or by overnight delivery, or (ii) three (3) days
<br />after deposit in United States certified mail, postage prepaid and return receipt requested, addressed to the respective address of
<br />the parties set forth below, or to such other address as the receiving party shall designate in writing pursuant to this Section:
