AMENDMENT TO AND FULLY RESTATED <br />EMPLOYMENT AGREEMENT <br />BETWEEN <br />CONEJO RECREATION AND PARK DISTRICT <br />AND <br />GENERAL MANAGER <br />THIS AMENDMENT TO AND FULLY RESTATED EMPLOYMENT AGREEMENT <br />is made this 22 day of May, 2014, between JIM FRIEDL and the CONEJO <br />RECREATION AND PARK DISTRICT ('DistrictL), a California public agency, to amend <br />and supersede the Employment Agreement dated August 3, 2006 between Jim Friedl <br />and the District. <br />RECITALS <br />A. District has employed, and desires to continue to employ, the services of Jim <br />Friedl as the General Manager of the District. <br />B. District and Jim Friedl desire to establish certain conditions of employment, <br />provide Jim Fried[ certain compensation and benefits, and set working <br />conditions for such employment and generally the role of the Board of <br />Directors of the District (`Board") and the administrative and operational role <br />of the General Manager to be carried out consistent with the Board's adopted <br />policies and budget. <br />C. Jim Friedl desires to continue such employment on terms as set forth herein. <br />AGREEMENT <br />The parties agree as follows: <br />Section 1: Duties <br />District agrees to continue the employment of Jim Friedl as the General Manager <br />of the Conejo Recreation and Park District ("General Manager") to: (a) Perform the <br />duties and to administer the functions specified in the Recreation and Park District Law <br />(Cal. Public Resources Code sec. 5780 at seq.) and all ordinances and regulations of <br />the District; (b) Perform the duties and functions specified in the attached job <br />classification (Attachment 1); (c) Administer and enforce the policies as may be <br />adopted by the Board; and, (d) Perform such other legally permissible duties and <br />functions as the Board may assign from time to time. The General Manager agrees <br />that, to the best of his ability and experience, he will at all times under the term of this <br />Agreement, loyally remain in the employ of the District and perform all of his assigned <br />duties and obligations set forth in, and that are implicit under, this Agreement. <br />Section 2: "At -Will" Employee Status <br />The General Manager serves as an 'at will" employee (as defined in the <br />California Labor Code Section 2922), serving at the pleasure of the Board, and nothing <br />in this Agreement small require cause for removal, or prevent, limit, or otherwise interfere <br />with the right of the Board to terminate the services of the General Manager at any time, <br />subject only to the provisions set forth in Sections 3(A), (B) and (C) of this Agreement. <br />In addition, nothing in this Agreement shall prevent, limit, or otherwise interfere with the <br />right of the General Manager to resign at any time from his position with District, subject <br />GENERAL MANAGER EMPLOYMENT AGREEMENT Pogo 1 <br />511412014 <br />
