shall pay District 100% of the amount requested for each portion completed <br />and approved within thirty (30) days of City's receipt; provided the total <br />amount paid shall not exceed $2,700,000.00. <br />3. RELATIONSHIP OF PARTIES <br />It is expressly understood and agreed that Uty does not, in any way or for <br />any purpose, by providing this grant become a partner of District in the <br />conduct of District's business or activities, or become a joint venture, or a <br />member of a joint enterprise with District. It is further understood and agreed <br />that the officers, employees and/or agents of City shall not be considered, <br />for any purpose, to be employees or agents of District. <br />It is expressly understood and agreed that District does not, in any way or <br />for any purpose, by accepting this grant become a partner of City in the <br />conduct of City's business or activities, or become a joint venture, or a <br />member of a joint enterprise with City. It is further understood and agreed <br />that the officers, employees and/or agents of District shall not be <br />considered, for any purpose, to be employees or agents of City. <br />4. USE OF GRANT <br />District understands and agrees the use of this grant is subject to the <br />express terms and conditions of this Agreement. <br />5. PERMITS AND LICENSES <br />District, or its designee, at its sole expense, will obtain and maintain during <br />the term of this Agreement, all appropriate permits and licenses, and <br />certificates that may be required in connection with the performance of <br />Project bid documents and construction under this Agreement. <br />6. PROJECT COORDINATION AND SUPERVISION <br />District's Parks and Planning Division will monitor the progress and <br />execution of this Agreement. City will designate a representative, Facilities <br />Manager, to provide supervision and have the overall responsibility for the <br />progress and execution of this Agreement. <br />7m TERM <br />This Agreement will terminate upon the completion of the Project's <br />construction, [currently projected to be April 2021 ], or until all Grant funding <br />from City has been utilized, whichever is later <br />8. AUDIT AND INSPECTION OF PROJECT <br />District acknowledges that City may conduct an audit of District's financial <br />records of the Project at any time.
