WHEREAS, in furtherance to the cooperative relationship between the parties, District operates Goebel Adult Community Center ("Goebel Center") in the City - owned facility at 1385 East Janss Road; and WHEREAS, the Goebel Center enhances the leisure time capabilities of the senior adult populous of the Conejo Valley and the Teen Center provides a safe place for teens to partake in non -school activities; and WHEREAS, City and District are desirous of expanding and renovating the Teen Center and renovating the Adult Center; and WHEREAS, on June 11, 2019, Thousand Oaks City Council approved a Grant Agreement and authorized a $300,000 grant of City funds to District for the design of Project based on specific terms and conditions; and WHEREAS, District met the specific terms and conditions set forth in the Agreement; and WHEREAS, on October 22, 2019, Thousand Oaks City Council authorized a grant of City funds to District for the bid documents and construction of Project based on specific terms and conditions described in this Agreement. NOW, THEREFORE, in consideration of the covenants and terms set forth herein, City and District agree as follows: GRANT AMOUNT City hereby agrees to provide a monetary grant from its General Fund an amount up to TWO MILLION SEVEN HUNDRED THOUSAND DOLLARS ($2,700,000.00) for the bid documents and construction of the Project. Payment is subject to District's construction of the Project, submittal to City of costs incurred for said construction articulated in this Agreement, and City's confirmation of work completed. District shall be solely responsible for any and all funding for the improvements over and above the amount of the City's Grant. Construction shall be accomplished according to the approved conceptual plan shown in Exhibit A. District shall submit final design plans and specifications to the City and City Council must approve design plans and specifications prior to construction. Final design and any changes to plans, specifications and working details of the project on work directives and change orders must be approved by City Engineer prior to construction of any such change. 2. PAYMENT OF GRANT FUNDS District will receive payment of such Grant as follows: District shall submit to City evidence of completion of or portions of the Project bid documents and construction (copy of invoice shall suffice); City Page 2
