MEMORANDUM OF UNDERSTANDING <br />BETWEEN CONEJO RECREATION AND PARK DISTRICT <br />AND <br />LAS FLORES COMMUNITY GARDEN <br />This Memorandum of Understanding (MOU) is entered into by and between Conejo Recreation <br />and Park District (CRPD) and Las Flores Community Garden (LFCG) for the purpose of defining <br />the rights and responsibilities of each party with respect to the operation of a community organic <br />garden by LFCG: <br />A. Whereas for more than forty years CRPD has owned the property known as Conejo <br />Creek West and Waverly Neighborhood Park; and <br />B. Whereas LFCG has for more than fourteen years operated a not-for-profit program for <br />its members, participating with and assisting CRPD in maintaining and managing a <br />community garden at Conejo Creek West; and <br />C. Whereas LFCG most recently operated on a 1 -acre CRPD provided parcel under the <br />March 15, 2012 MOU with CRPD; and <br />D. Whereas, this MOU shall supersede the March 15, 2012 MOU between CRPD and <br />LFCG; and <br />E. Whereas CRPD desires to provide a .79 -acre expansion to the existing garden in order <br />to meet the needs of LFCG's successful program. <br />Now Therefore In Consideration Of The Foregioina And These Mutual Promises It Is <br />Agreed As Follows: <br />1. Las Flores Community Garden agrees to: <br />a) Provide $1,000,000 of liability insurance, naming CRPD as additional insured, for <br />any damage, injury, claim, lawsuit, demand or judgment arising from the operation of <br />the community garden. <br />b) Operate the garden in accordance with organic gardening principles, as defined in <br />the Encyclopedia of Organic Gardening. <br />c) Limit the planting and/or cultivation to non-invasive or non -intrusive plants, and <br />annual edible plants, flowers and herbs. <br />d) Charge reasonable plot rental fees, to be reviewed annually by CRPD. <br />e) Upon becoming a member of LFCG, each member will sign a waiver of liability <br />holding CRPD, its officials, officers, contractors and employees harmless from any <br />damage, injury, claim, lawsuit, demand or judgment occurring at the property. <br />
