CONEJO VALLEY DAYS ANNUAL AGREEMENT — 2014 This Agreement is entered into by and between THE LUCY PET FOUNDATION, a non-profit organization, hereinafter referred to as "LUCY PET," and CONEJO RECREATION AND PARK DISTRICT, hereinafter referred to as "DISTRICT." WITNESSETH: WHEREAS, LUCY PET desires to utilize a portion of that certain real property owned and controlled by the DISTRICT, which property is referred to as approximately 78 acres including: Conejo Creek Park South (32 acres), and a potential for overflow parking at Conejo Creek Park North, Teen Center and Senior Center and Library (44 acres) hereinafter referred to as the "subject premises," for the purpose of conducting a community celebration known as Conejo Valley Days, and WHEREAS, the DISTRICT desires to allow LUCY PET to use the subject premises for purpose of conducting the Conejo Valley Days celebration. WHEREAS, LUCY PET is entering into this Agreement based upon its understanding that Frank Akrey has acquired the rights to Conejo Valley Days and the Conejo Valley Days celebration from the Conejo Valley Activities Corporation. WHEREAS, LUCY PET anticipates entering into a contract with Akrey for LUCY PET to become the sponsor of Conejo Valley Days for 2014. NOW, THEREFORE, in consideration of the foregoing recitals and the mutual covenants contained herein, it is agreed as follows: 1. LUCY PET's entry into a contract with Akrey, and DISTRICT's approval of such contract, is a condition precedent to the effectiveness of this Agreement and, unless this condition is satisfied, this Agreement shall not be binding on LUCY PET and shall not have any force or effect.
