7. The ROTARY hereby indemnifies and holds the DISTRICT, CVUSD, and CITY and its
<br />officers, officials and employees, harmless from and against any and all claims by or
<br />on behalf of any person(s), firm(s), or corporation(s) arising from the ROTARY's use
<br />of D (STRICT, CVUSD or CITY property us(�d by ROTAR)/' kinder this Agreement,
<br />including adjacent parking areas, or arising from any acts of negligence of the
<br />ROTARY or any of its agents, contractors, servants, employees, permlittees, or agents
<br />and from and against all costs, attorney fees,, expenses, and liabilities incurred in or
<br />about any such claim, action, or proceeding brought thereon. All parties contracted
<br />with ROTARY for the event who have their oven insurance shall be rc_.guired to name
<br />the DISTRICT, CVUSD, and CITY as additional insureds.

<br />the DISTRICT or any of its agents, contractors, servants, lemhloyees, permittees, or
<br />agents and from and against all costs, attorne)( fees, expenses, and liabilities incurred
<br />in or about any such claim, action, or proceeding brought thereon.

<br />Payment shall occur wilthin ninety (90) days of the termination of said event..
<br />10. The ROTARY shall provide the ®(STRICT a fell finan6al report within ninety (90) days
<br />of the termination of said event. The District may, at its discretion, inspect the budgets,
<br />financial transactions, books, records, and the like, of the ROTARY.
<br />11. The ROTARY shall fully reimburse the DISTRICT for any labor and materials
<br />expended by the DISTRICT for any and all repairs that are caused by the event.
<br />Payment shall occur within ninety (90) days of date of invoice from the DISTRICT.
