Holt, Director <br />Chuck Huffer, Director <br />GENERAL MANAGER EMERITUS <br />Tex Ward <br />TO: Board of Directors <br />FROM: Jim Friedl, General Manage <br />SUBJECT: California Special District's Ass ciation's (CSDA) Proposed By-law Changes <br />RECOMMENDATION <br />Authorize General Manager to cast the Conejo Recreation and Park District's vote in favor of <br />CSDA's proposed Bylaw changes. <br />BACKGROUND <br />CRPD is a member in good standing of the California Specials District's Association. CSDA <br />provides over 1,000 special district members statewide with education and training programs, <br />conferences, sample policy guidance and advocacy efforts. <br />The last CSDA bylaws updates were made in 2016 with the primary change being the addition of <br />electronic voting for elections and other matters that require Regular Member approval. <br />Following receipt of feedback and suggestions over the last few years from members, CSDA has <br />conducted a review of the CSDA Bylaws making the necessary updates as well as additions or <br />improvements. There are numerous minor verbiage and grammar updates as well as more <br />significant proposed updates that are listed in summary below and in detail in the mark-up version <br />attached hereto. <br />• Revised Rights of Regular Membership; <br />• A new category for Retired Non -Voting Individual Membership; <br />• A new section on the use of "member" in reference to Associate Members and Business <br />Affiliate Members; <br />• Updates to the Termination of Membership section and adds a section regarding <br />Procedure for Termination of Membership; <br />• Clarification on the process for handling a vacancy on the Board of Directors outside of <br />nomination period; <br />• New Annual Report section added; and <br />• A new section prohibiting dual directorships with CSDA's Alliance partner, Special District <br />Risk Management Authority (SDRMA) <br />ADMINISTRATIVE OFFICES <br />403 West Hillcrest Drive I Thousand Oaks, CA 91360-4223 <br />(805) 495-6471 1 FAX: (805) 497-31991 Email: parks@crpd.org I Website: www.crpd.org <br />
