This Indemnity ("Indemnity") is made as of December , 2019 by The Reign Of <br />Terror Haunted House, Inc., a California nonprofit public benefit corporation, C'Indemnitor") in <br />favor of the Conejo Recreation And Park District, a California public entity ("CUD"). <br />INY-61fivo <br />th <br />A. Thousand Oaks Marketplace, LP, as ow-ner and the landlord ("Landlord"') of hi <br />improved and enclosed 28,900 square feet of space at 225 N. Moorpark Road, Suite J-225 <br />I <br />Thousand Oaks,, CA 91360, ("Premises"), which Premises is *in the Janss Marketplace shoppiin <br />center, has required the CRPD to be a co -tenant with the Indemnitor on the lease of the Premise. <br />("Lease") both being jointly and severally liable as tenants. <br />B. Under the Lease and contemplated responsibilities and activities of both the <br />CRPD and the Indemnitor, the Indemnitor shall have sole possession of the Premises and will <br />manage and control use of and the activities thatwill occur in the Premises during the term of the <br />Lease. CRPD will not be involved with the management, control uses of and any activities that <br />occur in the Premises. <br />C. Except as to providing insurance coverage as required by the Lease, CRPD hac! <br />agreed to enter into the Lease only on the condition that the Indemnitor agrees to defend anw, <br />indemnify CRPD for any losses, attorney fees, rent, clean-up costs, cost to remediate <br />hazardous materials, Landlord charges, liability for any causes of action or personal m'juries :�l <br />occur regarding the use of the Premises and all other costs to CRPD as the result of CRPD bei <br />a co -tenant under the Lease. The Indemnitor has agreed to do so. <br />I . Aareernent to Inde Yor a good and valuable consideration, the receipt and <br />adequacy of which are hereby acknowledged, and in order to induce CRPD to execute the Lease <br />as a tenant, Indemnitor shall to the fullest extent permitted by law, defend, indemnify and hold <br />C,RPD harmless from any losses, liabilities, damages,, expenses or costs, payments, causes of <br />action, personal Miuries, including reasonable attorney fees, incurred by CRPD arising out of its <br />being a co -tenant under the Lease or due to the Indemnitor's use of the Premises. Any amounts <br />due hereunder shall be paid within 30 days after the delivery of a written demand by CRPD to <br />the Indernnitor. Amounts not timely paid shall bear interest at 12% per annurn. <br />2. Modification.The Lease may not be changed by agreement with the Landlord at <br />any time or by course of conduct, without the consent of or notice to CRPD and this Indemnity <br />shall apply to the Lease as so modified. <br />n <br />
