AN AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CONEJO RECREATION <br />AND PARK DISTRICT <br />AND <br />ROGERS, ANDERSON, MALODY AND SCOTT, LLP <br />FOR AUDITING SERVICES <br />THIS AGREEMENT made and entered into April 19, 2019, by and between the CONEJO <br />RECREATION AND PARK DISTRICT (herein referred to as "District") and Rogers, Anderson, <br />Malody, and Scott, LLP (herein referred to as "Consultant".) <br />The District and Consultant agree as follows: <br />RETENTION AS CONSULTANT <br />District hereby retains Consultant, and Consultant hereby accepts such engagement, to <br />perform the services described in Section 2. Consultant warrants it has the qualifications, <br />experience, and facilities to properly and timely perform said services. <br />2. DESCRIPTION OF SERVICES <br />The services to be performed by Consultant are audit services for District and Mountains <br />Recreation & Conservation Authority ("Authority") consistent with the February 28, 2019 <br />proposal attached hereto as Exhibit 1. <br />3. COMPENSATION AND PAYMENT <br />Total compensation payable to Consultant by District/Authority for the services under this <br />Agreement SHALL NOT EXCEED the amounts shown on page 23 of the proposal <br />(Exhibit 1). <br />4. EXTRA SERVICES <br />Unless the District/Authority and Consultant have agreed in writing before the <br />performance of services, no liability and no right to claim compensation for such extra <br />services or expenses shall exist. <br />5. DISTRICT PROJECT MANAGER AND SERVICES BY DISTRICT <br />The services to be performed by the Consultant shall be accomplished under the general <br />direction of, and coordinate with, the District's "Project Manager," as that staff person is <br />designated by the District from time to time, and who presently is Sheryl Lewanda. <br />6. PROGRESS AND COMPLETION <br />Consultant and District's Project Manager will coordinate audit dates acceptable to both <br />parties. <br />7. OWNERSHIP OF DOCUMENTS <br />All property rights, including publication rights of all final financial statements produced by <br />consultant in connection with services performed under this Agreement shall be vested in <br />ATTACHMENT 2 <br />
