AN AGREEMENT FOR PROFESSIONAL SERVICES <br />BETWEEN THE <br />CONEJO RECREATION AND PARK DISTRICT <br />AND <br />NINE PLANETS, LLC <br />FOR THE DEVELOPMENT OF A <br />CUSTOM COMPUTER SOFTWARE RESERVATION SYSTEM <br />THIS AGREEMENT, made and entered into March 7, 2019, by and between the <br />CONEJO RECREATION AND PARK DISTRICT (herein referred to as "District," and <br />NINE PLANETS, LLC (herein referred to as "Consultant" <br />The District and Consultant agree as follows: <br />1. RETENTION AS CONSULTANT <br />District hereby retains Consultant, and Consultant hereby accepts such <br />engagement, to perform the services described in Section 2. Consultant <br />warrants it has the qualifications, experience, and facilities to properly and <br />timely perform said services. <br />2. DESCRIPTION OF SERVICES <br />The services to be performed by Consultant are to (generally describes services) <br />consistent with the CRPD Reservation System Proposal dated February 4, <br />2019 attached hereto as Exhibit 1. <br />3. COMPENSATION AND PAYMENT <br />Total compensation payable to Consultant by District for services under this <br />agreement is $63,000 and shall be invoiced upon completion of project <br />phases. <br />EXTRA SERVICES <br />Unless the District and Consultant have agreed in writing before the <br />performance of services in excess of $63,000, no liability and no right to claim <br />compensation for such extra services or expenses shall exist. Extras <br />services must be agreed to beforehand in writing and may be billed at the <br />hourly rates attached to the proposal. <br />4.
